ARC Capital Venture Impersonation Scam Warning

​No Association Between ARC Capital Venture (Australia) Pty Ltd and ARC Capital Venture LLC

​

We have been made aware of a global criminal impersonation scam targeting Australian investors involving fraudulent offers of corporate bond investments.

​​

Unknown and unauthorised third parties are falsely claiming association with ARC Capital Venture (Australia) Pty Ltd and are misusing the unrelated name of ARC Capital Venture LLC, together with both possibly genuine and definitely fictitious individual identities, as part of a deliberate scheme designed to steal from investors.

 

ARC CAPITAL VENTURE (AUSTRALIA) PTY LTD and ARC Capital Venture LLC are separate legal entities. There is no ownership, control, agency, partnership, joint venture, or representative relationship between these entities. Any suggestion that these entities are operating together in connection with the bond investment offers is false.

 

ARC CAPITAL VENTURE (AUSTRALIA) PTY LTD is not the Australian arm of ARC Capital Venture LLC as falsely reported.

The impersonators have produced forged and unauthorised documentation as part of their fraudulent onboarding process. These materials falsely reference legitimate Australian company details and regulatory information to create a misleading appearance of credibility.

​

The individuals behind this scheme have never been authorised by ARC CAPITAL VENTURE (AUSTRALIA) PTY LTD or by any Australian Financial Services Licence (AFSL) holder. The adviser identity used was not authorised by ARC Capital Venture (Australia) Pty Ltd or any known Australian Financial Services Licence holder.

ARC CAPITAL VENTURE (AUSTRALIA) PTY LTD does not currently hold an Australian Financial Services Licence (AFSL) and does not have a Corporate Authorised Representative (CAR) arrangement in place.  ARC Capital Venture LLC is not licensed in Australia.

The illegal operators are using both fake Client Agreements and American bond documentation to manipulate investors into sending money overseas.

Law enforcement authorities have verbally indicated that the Australian telephone numbers associated with this scheme were virtual numbers routing calls to the United States.

​

Enquiries were made with the American Bankers Association regarding ARC Capital Venture LLC. The Association confirmed only that ARC Capital Venture LLC was a member of its “Partner Network” and declined to provide any further information. The American Bankers Association is a trade association and not a financial regulator or licensing authority, and such membership does not constitute regulatory approval, licensing, supervision, or endorsement of investment activities.

Investors should treat any communication from these sources as high risk. Do not transfer funds. Do not provide identification documents. Do not rely on documents that reference Australian licence details without independently verifying them through official channels.

If you believe you have been targeted or have suffered loss, contact your state Police (Fraud Division) immediately.

The conduct described was carried out by unknown and unauthorised third parties engaged in impersonation. Neither Titan Securities Pty Ltd nor ARC Capital Venture (Australia) Pty Ltd authorised, controlled, supervised, facilitated, or benefited from that conduct.

Independent legal advice should be obtained before taking any action, to ensure that any claim is directed toward the correct party and not against an entity that was not involved in the conduct described.

Titan Securities Pty Ltd's and ARC Capital Venture (Australia) Pty Ltd's company names were misused without authorisation.

 

The conduct described was not carried out under any valid AFSL authorisation, including AFSL 307040 held by Titan Securities Pty Ltd. The losses resulted from impersonation by unrelated third parties falsely claiming to represent licensed entities or their authorised representatives.

Investors must conduct their own independent due diligence before committing funds to any investment opportunity. Verifying an entity’s name on ASIC Professional Registers alone is not sufficient. Investors should independently contact the AFSL holder using publicly available contact details and speak directly with the Responsible Manager or equivalent to confirm adviser authorisations and bank account instructions prior to transferring funds.

All due diligence confirmations issued by Titan Securities Pty Ltd are conducted strictly in writing through verifiable and controlled communication channels. Titan Securities Pty Ltd does not provide verbal confirmations of advisers or banking details over the telephone. Any representation to the contrary is false and should be treated as a red flag.

All information unlawfully used by the scammers was sourced from publicly available registers and materials, and there has been no data breach or unauthorised access to any internal or confidential information.

Titan Securities Pty Ltd (AFSL 307040) has never authorised, supervised, or issued any government or corporate bond investment through ARC Capital Venture (Australia) Pty Ltd or ARC Capital Venture LLC. Titan Securities Pty Ltd or its representatives have never received, controlled, or facilitated the movement of investor funds in connection with the bond documentation described.

Clarification Notice

​

For the avoidance of doubt, individuals affected by this impersonation scheme contracted with unknown and unauthorised third parties. They did not enter into any agreement with Titan Securities Pty Ltd or ARC Capital Venture (Australia) Pty Ltd.

​

Titan Securities Pty Ltd and ARC Capital Venture (Australia) Pty Ltd have no contractual relationship or association with ARC Capital Venture LLC.

​

No funds were received by, held by, controlled by, or transmitted through Titan Securities Pty Ltd or ARC Capital Venture (Australia) Pty Ltd in connection with the conduct described.

​

The adviser identity used in connection with the scheme is not known to, nor authorised by, either entity, and no valid AFSL authorisation was relied upon in the transactions described.

​

Any contract, agreement, or document created or procured through fraud, misrepresentation, or impersonation is void and incapable of creating any binding legal obligation against an entity that neither authorised nor executed it.

​

The purported client agreement of ARC Capital Venture (Australia) Pty Ltd expressly requires execution by both parties in order to become binding. ARC Capital Venture (Australia) Pty Ltd did not execute such documents. As a result, no binding agreement was formed with that entity.

​

Individuals who were provided with such documentation should be aware that a contract which is not executed by the named company and was not authorised by it is incapable of creating enforceable obligations against that company. Legal advice should be obtained to ensure that any claim is directed toward the correct party responsible for the conduct.

Neither Titan Securities Pty Ltd nor ARC Capital Venture (Australia) Pty Ltd were involved in, approved, supervised, or benefited from the conduct giving rise to the reported losses.

Reservation of Rights

​

Titan Securities Pty Ltd reserves all legal rights in relation to any unfounded, misconceived, or vexatious claims arising from this matter, including the right to seek recovery of legal costs where appropriate.

​Titan Securities Pty Ltd and ARC Capital Venture (Australia) Pty Ltd were themselves victims of the unauthorised misuse of their names in this scheme.

Titan Securities Pty Ltd became aware of this impersonation activity only after an affected investor contacted us in late December 2025. Upon becoming aware, we took steps to clarify our position and warn the public.​​
